Terms and Conditions

1. Acceptance of Terms

By accessing or using The Alchemist Pro platform, you agree to be bound by these Terms and Conditions. If you are using the platform on behalf of an entity, you represent that you have the authority to bind such entity to these terms.

2. Use of the Platform

Permitted Use: The platform is provided to facilitate AI-powered requirements engineering, artifact generation, and related software services for authorized users.

Prohibited Conduct: Users shall not attempt to reverse engineer, decompile, or derive the source code of any elements of the platform or its underlying software.

Proprietary Notices: You may not remove, alter, or obscure any proprietary notices or trademarks belonging to The Alchemist Pro or AI Pro Holdings, Inc.

3. Credit-Based Usage

The platform operates on a credit-based system. Credits are consumed when using platform features including artifact generation, document exports, live avatar sessions, and other AI-powered capabilities. Credit packs and subscriptions are non-refundable once purchased unless otherwise required by applicable law.

4. Intellectual Property

All platform content, including text, graphics, logos, and software, is the property of AI Pro Holdings, Inc. and is protected by copyright laws and international treaty provisions. No rights to trademarks, service marks, or trade names are granted through your use of the platform.

Content and artifacts you generate through the platform using your own input data remain your intellectual property.

5. Third-Party AI Services

The platform integrates the following third-party AI services to deliver its features. By using the platform, you acknowledge that your data may be transmitted to these providers for real-time processing (inference) only:

• Google Gemini: Powers the core requirements engineering workflow (elicitation, elaboration, artifact generation, summarization). Used under a commercial license governed by the Google Cloud Data Processing Addendum. Your data is not used to train or improve Google's models.
• OpenAI: Powers the Alchemist Audit feature (requirements auditing, conflict detection, fix suggestions). We have opted out of all data sharing — your inputs and outputs are not used to train, improve, or fine-tune OpenAI's models. See OpenAI's Terms & Policies.
• HeyGen: Powers optional live avatar sessions during Capture and Elaboration. We have opted out of HeyGen's use of our data for research and development of their AI models. See HeyGen's Terms of Service and Privacy Policy.

AI Pro Holdings, Inc. is not responsible for the practices of these third-party providers beyond the contractual commitments described above. You are responsible for ensuring that your use of the platform complies with your organization's data governance policies.

6. Disclaimers and Limitation of Liability

"As Is" Basis: The platform and its materials are provided "AS IS" without warranties of any kind, express or implied, including but not limited to merchantability or fitness for a particular purpose.

AI-Generated Content: Artifacts and outputs generated by the platform are AI-assisted and should be reviewed by qualified professionals before use in production environments.

Liability Cap: AI Pro Holdings, Inc.'s total liability for any claims arising from the use of the platform shall not exceed the amount paid by you to AI Pro Holdings, Inc. in the twelve (12) months preceding the claim.

Excluded Damages: AI Pro Holdings, Inc. is not liable for indirect, incidental, special, or consequential damages, even if advised of the possibility of such damages.

7. Account Termination

We reserve the right to suspend or terminate your access to the platform at any time for violation of these terms or for any conduct that we determine, in our sole discretion, to be harmful to the platform or other users.

8. Governing Law

These terms are governed by the laws of the State of Texas. Any disputes shall be resolved exclusively in the state or federal courts located in Texas.
